Baseline Data Systems End User License Agreement (EULA)

You must accept the license agreement below before you can use this service and any related software, services, or documentation. This agreement is between you and Baseline Data Systems, Inc. (“BDS”), governing the use of Office Accelerator (“the Product”), which includes but is not limited to any related software (“the Software”), documentation (“the Documentation”), services (“the Services”), and technical support (“Support Services”). It also governs the payment of service fees (“Service Fees”).

Grant of License

BDS grants you a personal, non-exclusive, non-transferable license to use Office Accelerator for your internal business needs. You may not:

Distribute, sublicense, rent, or lease the Product.
Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Product.
Transmit the Product electronically or transfer it by any other means.
Use the Product in multiple computer or multiple user arrangements, unless permitted by the EULA.

Multiple Computer, Device & User Arrangements

BDS may allow you to purchase services enabling multiple active user accounts. Each account may be accessed from any computer for non-simultaneous use. Simultaneous use from multiple computers, devices, or users is prohibited unless explicitly permitted. BDS reserves the right to modify these terms at its sole discretion.

Copy Restrictions

You may not copy any part of the Product, except as expressly permitted under this agreement.

Ownership of the Product

BDS retains full ownership of the Product, including all related materials, irrespective of the form of media in which they exist. This license does not constitute a sale of the Product or any subsequent updates.

Copyright

The Product is proprietary to BDS and is protected by copyright laws and international treaties. You must treat the Product like any other copyrighted material.

Termination

This agreement remains in effect until terminated. It will terminate automatically, without notice, if you fail to comply with its terms. Upon termination, you must destroy all related materials. You may terminate this agreement by submitting a written request to Baseline Data Systems, Inc., 3655 Torrance Blvd., Suite 255, Torrance, CA 90503.

Upgrade Policy

BDS may release upgraded versions of the Product. If you are a registered user, you may be eligible to receive such upgrades by paying applicable fees.

Service Fees

The Product is provided as a service requiring periodic Service Fee payments. BDS reserves the right to adjust these fees at its sole discretion. If your usage requires an increased fee, BDS may automatically adjust your billing. Failure to pay Service Fees may result in termination of your license.

Customer Contact Information

BDS may use your contact information for operations, assistance, payment processing, and marketing purposes. By activating your BDS account, you consent to receive communications via mail, email, phone, or text. BDS will not provide your information to third parties except as outlined in this agreement.

Customer Data

You retain ownership of data created by you within the Product (“Customer Data”). However, BDS may use this data to enhance its services. Deleting Customer Data does not guarantee its permanent removal from BDS systems.

Data Disclosures

BDS does not sell or rent Customer Data without your consent, except as required by law. BDS may share data with service providers for operational purposes.

Passwords

Passwords provided by BDS must be kept confidential. Unauthorized use of credentials is a violation of this agreement.

Use of Services

You agree to use the Services only for lawful purposes. You may not:

Send spam or unsolicited messages.
Transmit malware or harmful content.
Use the Services in violation of applicable laws.

Confidential Information

BDS and the Customer agree to keep confidential any proprietary information exchanged under this agreement, except when disclosure is required by law.

Support Services

At BDS’s sole discretion, Support Services may include updates, technical assistance, or hosting. Additional fees may apply.

Disclaimer of Warranty

The Product is provided “AS IS” without warranties, express or implied. BDS does not guarantee uninterrupted or error-free performance.

Limitation of Liability

BDS is not liable for any indirect, incidental, or consequential damages arising from the use of the Product.

Indemnification

You agree to indemnify BDS against any claims resulting from your violation of this agreement or applicable laws.

Governing Law

This agreement is governed by the laws of the State of California.

Assignment

You may not transfer or assign this agreement without BDS’s written consent.

Severability

If any provision of this agreement is found to be invalid, the remaining terms remain enforceable.

Entire Agreement

This document constitutes the entire agreement between you and BDS, superseding any prior agreements.

No Waivers

Failure to enforce any provision of this agreement does not constitute a waiver.

Export Restrictions

The Product may be subject to U.S. export laws. You agree to comply with all applicable regulations.
