Baseline Data Systems End User License Agreement (EULA)

You must accept the license agreement below before using this service or any related software, services, or documentation. This agreement is between you and Baseline Data Systems, Inc. (“BDS”) and governs your use of Office Accelerator (“the Product”), including but not limited to related software (“the Software”), documentation (“the Documentation”), services (“the Services”), technical support (“Support Services”), and service fee payments (“Service Fees”).

Grant of License

BDS grants you a personal, non-exclusive, non-transferable license to use Office Accelerator for your internal business purposes.

You may not:

Distribute, sublicense, rent, or lease the Product.
Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Product.
Transmit the Product electronically or transfer it by any other means.
Use the Product in multiple-computer or multi-user environments unless expressly permitted by this EULA.

Multiple Computer, Device, and User Arrangements

BDS may allow you to purchase services that support multiple active user accounts. Each account may be accessed from any computer for non-simultaneous use. Simultaneous use from multiple computers, devices, or users is prohibited unless expressly permitted. BDS reserves the right to modify these terms at its sole discretion.

Copy Restrictions

You may not copy any part of the Product except as expressly permitted under this agreement.

Ownership of the Product

BDS retains full ownership of the Product and all related materials, regardless of the media in which they exist. This license does not constitute a sale of the Product or any future updates.

Copyright

The Product is proprietary to BDS and protected by copyright laws and international treaties. You must treat the Product like any other copyrighted material.

Termination

This agreement remains in effect until terminated. The agreement will terminate automatically, without notice, if you fail to comply with its terms. Upon termination, you must destroy all related materials. You may terminate this agreement by submitting a written request to:

Upgrade Policy

BDS may release upgraded versions of the Product. Registered users may be eligible to receive upgrades upon payment of applicable fees.

Service Fees

The Product is provided as a service that requires periodic Service Fee payments. BDS reserves the right to adjust Service Fees at its sole discretion. If your usage requires an increased fee, BDS may automatically adjust your billing. Failure to pay Service Fees may result in termination of your license.

Customer Contact Information

BDS may use your contact information for operations, customer assistance, payment processing, and marketing purposes. By activating your BDS account, you consent to receiving communications by mail, email, phone, or text message. BDS will not provide your information to third parties except as outlined in this agreement.

Customer Data

You retain ownership of data created by you within the Product (“Customer Data”). However, BDS may use Customer Data to improve and enhance its services. Deleting Customer Data does not guarantee permanent removal from BDS systems.

Data Disclosures

BDS does not sell or rent Customer Data without your consent except as required by law. BDS may share Customer Data with service providers when necessary for operational purposes.

Passwords

Passwords provided by BDS must be kept confidential. Unauthorized use of account credentials constitutes a violation of this agreement.

Use of Services

You agree to use the Services only for lawful purposes.

You may not:

Send spam or unsolicited messages.
Transmit malware or harmful content.
Use the Services in violation of applicable laws or regulations.

Confidential Information

BDS and the Customer agree to maintain the confidentiality of proprietary information exchanged under this agreement except when disclosure is required by law.

Support Services

At BDS’s sole discretion, Support Services may include updates, technical assistance, or hosting services. Additional fees may apply.

Disclaimer of Warranty

The Product is provided “AS IS” without warranties of any kind, whether express or implied. BDS does not guarantee uninterrupted or error-free performance.

Limitation of Liability

BDS shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Product.

Indemnification

You agree to indemnify and hold harmless BDS against any claims, damages, or liabilities resulting from your violation of this agreement or applicable laws.

Governing Law

This agreement is governed by the laws of the State of California.

Assignment

You may not transfer or assign this agreement without prior written consent from BDS.

Severability

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

This document constitutes the entire agreement between you and BDS and supersedes all prior agreements or understandings.

No Waiver

Failure by BDS to enforce any provision of this agreement shall not constitute a waiver of that provision or any other provision.

Export Restrictions

The Product may be subject to United States export laws and regulations. You agree to comply with all applicable export requirements.
